1. Introduction

These Terms & Conditions ("Terms") govern your use of the online store subscription platform operated by StoreBase, a product of New Dawn IT Solutions ("we", "us", "our"). By purchasing a subscription or using our platform, you agree to be bound by these Terms.

Please read these Terms carefully before completing your purchase. If you do not agree with any part of these Terms, you should not use our platform.

2. Definitions

  • Platform: The StoreBase e-commerce SaaS platform accessible at storebase.in
  • Store: The online store provisioned for you upon subscription
  • Subscriber: Any individual or business that purchases a store subscription plan
  • End Customer: Any person who visits or makes purchases from your store
  • Subscription Plan: The selected service tier (Basic or Pro) with its associated features and limits

3. Eligibility

To use our platform, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into a binding agreement
  • Provide accurate and complete information during the purchase process
  • Comply with all applicable Indian laws and regulations

4. Subscription Plans & Billing

Plans

We offer monthly subscription plans (currently Basic and Pro). Each plan includes specific features, resource limits, and capabilities as described on the purchase page. We reserve the right to modify plan features, pricing, and limits with prior notice.

Billing

  • Payments are processed securely through Cashfree in Indian Rupees (INR)
  • Subscription fees are charged on a monthly basis from the date of purchase
  • All prices are inclusive of applicable taxes unless stated otherwise
  • Failed or disputed payments may result in suspension of your store

5. Store Provisioning

Upon successful payment, our team will provision your online store promptly. Provisioning includes:

  • Setting up your store on a subdomain of our platform
  • Creating admin credentials for your store panel
  • Configuring default store settings

You will receive your store URL and admin credentials via email. You are responsible for changing the default password immediately upon first login.

6. Acceptable Use

You agree to use the platform only for lawful purposes. You must NOT:

  • Sell prohibited, illegal, counterfeit, or restricted products under Indian law
  • Use the store for fraudulent activities, scams, or deceptive practices
  • Upload malicious code, viruses, or any content that could harm the platform or its users
  • Attempt to access other stores, admin panels, or platform infrastructure without authorisation
  • Infringe on intellectual property rights, trademarks, or copyrights of third parties
  • Sell products that violate consumer protection laws or product safety regulations
  • Use the platform to send unsolicited messages (spam) or harvest customer data for purposes unrelated to your store

Violation of these terms may result in immediate suspension or termination of your store without refund.

7. Your Responsibilities

As a subscriber, you are responsible for:

  • All content, product listings, images, and descriptions uploaded to your store
  • Ensuring your products comply with applicable laws, including consumer protection, product safety, and labelling requirements
  • Managing your own customer relationships, orders, shipping, returns, and disputes
  • Configuring and managing your payment gateway credentials and settings
  • Keeping your admin credentials secure and not sharing them with unauthorised parties
  • Providing accurate business information and maintaining up-to-date contact details
  • Creating and maintaining your own store's terms, privacy policy, and refund policy for your end customers

8. Intellectual Property

Our Property

The platform, its design, source code, features, and branding are the intellectual property of New Dawn IT Solutions. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

Your Content

You retain ownership of all content you upload to your store (product images, descriptions, logos, etc.). By uploading content, you grant us a non-exclusive licence to host and display it as part of the platform service.

9. Data & Privacy

  • Your use of the platform is also governed by our Privacy Policy
  • You are responsible for handling your end customers' personal data in compliance with applicable data protection laws
  • We do not access or use your customers' data for our own marketing purposes
  • Store data (products, orders, customer information) is stored securely and is accessible only to the respective store administrator

10. Service Availability

We strive to maintain 99.9% uptime for the platform. However, we do not guarantee uninterrupted service and shall not be liable for:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Downtime caused by third-party services (hosting, payment gateways, domain providers)
  • Force majeure events beyond our reasonable control

11. Limitation of Liability

To the fullest extent permitted by Indian law:

  • StoreBase / New Dawn IT Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform
  • Our total liability for any claim shall not exceed the subscription fees paid by you in the 3 months preceding the claim
  • We are not liable for losses arising from your end customers' actions, disputes, chargebacks, or fraudulent orders
  • We are not liable for any loss of revenue, profits, or business opportunities resulting from platform downtime or service interruptions

12. Suspension & Termination

By You

You may cancel your subscription at any time by contacting us. Your store will remain active until the end of the current billing period. Refer to our Refund & Cancellation Policy for details.

By Us

We reserve the right to suspend or terminate your store immediately if you:

  • Violate these Terms or any applicable laws
  • Engage in fraudulent or illegal activity
  • Fail to make timely subscription payments
  • Use the platform in a way that negatively impacts other subscribers or the platform's infrastructure

13. Dispute Resolution

Any disputes arising from these Terms shall be resolved through:

  1. Amicable discussion: We encourage you to contact us first to resolve any concerns informally
  2. Mediation: If informal resolution fails, parties agree to attempt mediation before pursuing legal action
  3. Jurisdiction: These Terms are governed by the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts in Kerala, India

14. Modifications to Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated date. We will notify active subscribers of material changes via email. Continued use of the platform after changes constitutes acceptance of the updated Terms.
